The shares to which this document relates have not been and will not be registered under the United States Securities Act of 1933, as amended (the “Securities Act”), and may not be offered or sold in the United States absent registration or an exemption from registration under the Securities Act. There will not be a public offering of shares in the United States.
Eurofins Scientific (EUFI.PA), a global leader in bio-analytical testing, announces that it has raised total gross proceeds of EUR 535 million following the issuance of 1,000,000 new shares to institutional investors, at a price of EUR 535 per share, representing a 2.5% discount to the 10-day VWAP* on 18 May 2020, and a premium of 1% to the 14-day VWAP since the publication of its Q1 2020 announcement on 28 April 2020.
Following strong investor demand, books were multiple times oversubscribed and Eurofins’ management decided to increase the offer size from 900,000 to 1,000,000 new shares. As communicated in yesterday’s press release announcing the launch of the equity offering, Eurofins intends to use the net proceeds from the issuance towards supporting its rapid build-up of COVID-19 testing capacities as well as strengthening its capital structure.
Dr. Gilles Martin, Eurofins CEO commented: “The success of this equity issuance demonstrates investors’ confidence in our ability to deploy capital to create significant shareholder value. I would like to thank investors for the trust that they have extended over the years, and continue to give to Eurofins. The Board and the executive management of Eurofins intend to continue investing with the same disciplined approach that it has employed in the past, targeting an increase in earnings per share (EPS) that can more than compensate shareholders for the dilution impact from the new issuance.”
Berenberg and Credit Suisse acted as Joint Global Coordinators and Joint Bookrunners for the Placement. The settlement-delivery and the admission of the new shares on Euronext Paris (on the same line as Eurofins’ existing shares with ISIN code FR0000038259) should occur on 22 May 2020.
